TERMS OF SERVICE

1. ACCEPTANCE OF TERMS

By using the Service, you confirm that you have read, understood, and agree to be bound by this Agreement. If you are using the Service on behalf of an organization, you are agreeing to this Agreement for that organization and warrant that you have the authority to bind that organization to these terms.

2. USER ACCOUNTS AND RESPONSIBILITIES

To access the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process. You are responsible for safeguarding your password and for all activities that occur under your account. You agree not to:

• Share your account credentials with any third party.
• Use the Service for any illegal or unauthorized purpose.
• Violate any applicable laws, regulations, or third-party rights.

3. SUBSCRIPTION, BILLING, AND CANCELLATION

3.1. Subscription Plans

The Service is offered on a subscription basis. By selecting a subscription plan (monthly or annual), you agree to pay the applicable fees in advance. All fees are non-refundable except as expressly stated in this Agreement.

3.2. Cancellation of Monthly Subscriptions

You may cancel your monthly subscription at any time through your account settings. Upon cancellation:

• Your subscription will remain active until the end of your current billing period.
• You will not be charged for subsequent billing periods.
• No cancellation fees will apply.

3.3. Cancellation of Annual Subscriptions

Annual subscriptions are billed in advance for a full year. If you cancel an annual subscription:

• Your subscription will remain active until the end of your annual billing period.
• Your subscription will not auto-renew for the following year.
• No refunds are provided for unused portions of an annual subscription term.

3.4. Refund Policy

While subscription fees are generally non-refundable, we may consider refund requests on a case-by-case basis if:

• You contact us within 48 hours of your initial subscription purchase.
• You experienced significant technical issues that prevented you from using the Service.
• There was a verifiable billing error on our part.

To request a refund, please contact customer support with your account details.

3.5. Effect of Cancellation and Data Retention

Upon the effective date of cancellation, your access to the Service will terminate. We recommend you export all necessary data before your subscription expires. Your data will be preserved for 60 days following cancellation to allow for account reactivation. After this 60-day period, we reserve the right to permanently delete your account data from our systems. You may reactivate your account within this 60-day period by purchasing a new subscription.

4. ACCEPTABLE USE

You agree not to use the Service to transmit or store any material that is unlawful, infringing, libelous, or in violation of third-party privacy rights. You will not interfere with or disrupt the integrity or performance of the Service or the data contained therein.

5. INTELLECTUAL PROPERTY

All rights, title, and interest in and to the Service, including all related intellectual property rights, are and will remain the exclusive property of Procured LLC. This Agreement does not grant you any rights to use our trademarks, logos, or other brand features.

6. TERMINATION

We may suspend or terminate your access to the Service at any time, without prior notice or liability, for any reason, including if you breach this Agreement. Upon termination, your right to use the Service will immediately cease.

7. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROCURED LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING FROM YOUR USE OF THE SERVICE.

9. GOVERNING LAW

This Agreement shall be governed by the laws of the State of New Jersey, without regard to its conflict of law provisions.

10. CHANGES TO TERMS

We reserve the right to modify this Agreement at any time. We will provide notice of any material changes by posting the new terms on our site. Your continued use of the Service after such changes constitutes your acceptance of the new Agreement.
